These Terms of Use ("Terms") govern your access to and use of Music Metadata Finder (the "Service"), including the Metadata Finder and Catalog Builder tools. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Music Metadata Finder provides tools to retrieve and organize publicly available music metadata (such as track names, artists, album information, ISRCs, UPCs, release dates, and copyright lines) sourced from the Spotify Web API, for informational and catalog management purposes.

Music Metadata Finder uses the Spotify Web API but is not affiliated with, endorsed by, sponsored by, or officially connected to Spotify AB or any of its affiliates in any way. All Spotify trademarks and logos are the property of Spotify AB.

2. Accounts and Eligibility

Certain features require you to sign in using Google OAuth. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You must be at least 16 years old to use the Service. By creating an account, you represent that all information you provide is accurate and that you have the authority to use the Google account with which you sign in.

Free and Pro accounts are subject to daily and/or monthly usage limits as displayed on the Service (including but not limited to daily metadata search limits and daily Catalog Builder limits). We reserve the right to modify these limits at any time. Usage limits exist in part to comply with rate limits imposed by third-party providers, including the Spotify Web API; exceeding fair use of the Service, including automated, scripted, or bulk querying beyond normal interactive use, may result in throttling, suspension, or termination of access without refund.

5. Accuracy of Metadata — Disclaimer

Metadata provided through the Service, including but not limited to ISRCs, UPCs, release dates, artist and track names, and copyright (℗/©) lines, is retrieved from the Spotify Web API and/or cached from prior retrievals. We do not independently verify, audit, or guarantee the accuracy, completeness, or currency of this metadata. Metadata may be incomplete, outdated, cached, or inaccurate due to errors, omissions, or changes on Spotify's platform or by third-party distributors and rights holders.

You are solely responsible for independently verifying any metadata obtained through the Service before relying on it for any commercial, legal, contractual, publishing, distribution, royalty administration, licensing, or rights-management purpose. The Service is a convenience tool, not a system of record, and should not be treated as an authoritative or legally binding source of music metadata.

We reserve the right to suspend or terminate access, with or without notice, for any account we reasonably believe is violating these Terms.

7. Intellectual Property

The Service, including its design, branding, software, and underlying code, is owned by Music Metadata Finder and protected by applicable intellectual property laws. Music metadata retrieved via the Spotify Web API remains subject to Spotify's terms and the rights of the underlying rights holders; we make no claim of ownership over such metadata. You retain ownership of any catalog files or data you export from the Service, subject to Section 5 above.

8. Third-Party Services

The Service integrates with and depends on third-party providers, including Spotify (metadata), Stripe (payments), Supabase (authentication and data storage), Google (sign-in and analytics), and Vercel (hosting). We are not responsible for the availability, accuracy, security, or performance of these third-party services, and any outage or change in these services may affect the availability or functionality of the Service.

9. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service, including specific features, pricing, or usage limits, at any time and without prior notice or liability. We do not guarantee uninterrupted or error-free operation of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY METADATA PROVIDED WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUSIC METADATA FINDER, ITS OWNERS, AND OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, ROYALTIES, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — INCLUDING DAMAGES RESULTING FROM INACCURATE, INCOMPLETE, OR OUTDATED METADATA, OR FROM ANY DECISION MADE IN RELIANCE ON INFORMATION OBTAINED THROUGH THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT SUCH LIMITATION IS NOT PROHIBITED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50).

12. Indemnification

You agree to indemnify, defend, and hold harmless Music Metadata Finder and its owners and operators from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use or misuse of the Service; (b) your reliance on metadata obtained through the Service for any commercial, legal, or business purpose; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and/or cancel your subscription at any time. Provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 7, 10, 11, and 12) will survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States (México), without regard to its conflict of law principles, unless otherwise required by mandatory law applicable in your jurisdiction of residence. Music Metadata Finder is available to users internationally; this section governs only which body of law applies in the event of a legal dispute, and does not restrict who may access or use the Service.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
